FURTHER PRACTICE: SHALL


The prices shall include all materials and labor costs and travel expenses, but shall not include sales, use, service, value-added or similar taxes or customs duties. Such tax and duty, if applicable, shall be added to ABC’s invoices.


The Distributor shall provide SpiderCom with a tax receipt received from such tax authority to assist SpiderCom in receiving the foreign tax credit.


Robert shall assume no obligation to any claim of infringement arising out of modification or alteration of the Product by the Customer or any third party.


Robert shall issue invoices in accordance with the payment schedule described in Exhibit A. Charges for travel expenses may be invoiced separately. The Customer shall pay all invoices within thirty (30) days from the date of the related invoice.


SpiderCom shall provide the Distributor with such fixes, updates or new versions of the Products that SpiderCom may at its discretion periodically release.
